The Articles of Association for Kongsberg Gruppen ASA (reg. no. 943 753 709) outline the company's name, registered office, purpose, share capital, governance structure, and procedures for General Meetings, serving as the foundational legal framework for its operations.

Investor Relations Policy ensures transparent and comprehensive communication with the equity market through stock exchange disclosures, media engagements, reports, and investor presentations, in line with the Oslo Børs Code of Practice for IR.

Good corporate governance ensures responsible interaction between owners, the Board, and management, with the Board overseeing strategy and key decisions. Board members receive training every three years, with ethics and compliance onboarding for new members.

The Annual General Meeting (AGM) is KONGSBERG’s highest governing body, ensuring shareholder participation in key decisions. All shareholders have the right to submit matters for consideration, with the meeting held at least once per year. 

KONGSBERG shareholders can nominate candidates for the Board of Directors, with the Nominating Committee reviewing submissions ahead of the Annual General Meeting. Nominations must include details on the candidate’s experience, qualifications, and other relevant positions.
